This sounds like Messenger popups, not MSN messenger. If you have XP then go into Services (Administrative Tools) and disable the Messenger Service. Unless you're on a corporate network you don't need it running. You have to have administrative rights to do this. Click Start/Run then type in "services.msc" *without quotation marks. Scroll down until you see Messenger, double click (this brings up the Messenger Properties (Local Computer) window) then select Stop. Then in the Startup type line select disabled. Click OK when done.
