Hi Tim,

This does seem to be a common problem generally with this DLL and Code
5.  (At least so Google tells me)

Silly queston to be asking you, but have you checked Permissions for
System32?

Failing that, how about the sledge hammer approach?  Reboot in Safe
Mode and call the wee wifie to manually rename.

Off hand, I can't think of what would cause that other than a
Say.Tools object already being open.  The file referenced, however,
has not changed in years, so try ignoring the error and continuing
with the installation.
