I have the same problems with Windows 98SE.  I noted that there
is a greater chance of it shutting down properly when I exit from
all the programs that I opened before shutting the computer down.

After you click on "Start" and then click on "Shut Down", which
option is marked in the box? Has it been told to REstart or to
Start.
Sometimes we have told it to restart after installing something
new and it needs to shut down and restart to complete the
installation. Hope the solution for that problem is this easily
solved.
