[windows2000] sysprep

I just got a bunch of new dell workstations. I want to create an image
and then put the image on all the workstations. I was just wondering if
I have to sysprep the workstation that I create the image from? What
are the downsides to not running sysprep first?
The reason I ask is that Dell installs Windox xp pro on the workstations
but I am required to activate the machine with MS. I am trying to avoid
the hassles of doing that.
