If you're talking about a pure server OS upgrade (even if you then introduce
AD) you don't need the ADC.  You only need the ADC if you're upgrading
Exchange to E2K or E2K3.

If you really plan to stick with 5.5 as your mail server, then adding the
ADC is an unnecessary complication.
