It is the Federal Tax Codes that state what a tax exempt corporation may do in closed session. As for asking for a resignation, anyone can ask anyone to resign. I know I sent a letter to President Bush asking him to resign. He didn't say no yet. Margy was asked, and said "no". That should be the end of it. I was told every board member signed on the letter, and Carolyn has asked to have her name removed. So far no one else has said so.
