Hank, I have to wonder why it is trying to install to a system folder in the first place. Every AV app I've ever installed places its main files under the Program files folder. Any chance that folder has been somehow set to Read Only? Also, any chance that the app is being told to try to install inside C:\Windows or one of its subfolders somehow? It could also be something as simple as a bad download. Try downloading it again and see if you get the same problem.
