I did a thorough review and have many comments. I think it will be easier
to review the specifics when we are all together. If we review each
section in order, we can have discussion and agreed upon changes and then
move to the next session. It has been my experience that this is less
work intensive. Here are some examples of my comments...
1. The doc seems to use Board of Directors and Executive Board
interchangeably. The term Directors is used also. So we are clear, I
think we should standardize the terms (for the sake of the by-laws doc and
our organization), and be consitent with the use.
E.g.,
Board of Directors: all of the officers--pres., vp, secty, treas, 3
directors
Directors refer to the 3 "guiders" ONLY -Janet, Dennis, Barbara
Executive Board - do not use
2. The articles can be organized differently, for flow sake/orderliness.
E.g.,
Article I Name
Article II Nature and Objectives
Article III Membership
Section 1. Types of memberships (identify and define each, here)(move
info for Sr. member and honorary member up to here)
Section 2. Membership requirements (keep 1, 2, 3, 4)
Sertion 3. Why does the Bd. need to approve or reject applications?
Section 4. Good Standing. move this to Section 2. #5
Section 5. Resignation
Why does a member have to "resign"? If the member is no longer
interested, the member can stop coming to meetings, and not renew the
membership at the next membership drive.
We do need to have language this language for members of the Bd.
Article Vii: Officers
Move this article to *either* follow Article III: Membership, or precede
it. Re-number articles.
Make Section 1: Members
Make Section II: Term and Duties
-delete section 1. This is a repeat ...
-re-number sections
3. Should an Activities Committee be added, or should ad hoc committees be
formed when activities are identified?
4. "West End" is used several times. To what does this refer? Our
neighborhood? Let's discuss.
5. Elections are mentioned an being annual, yet the term for officers is
stated as 2 years. There is no provision to elect only certain Bd. members
every other year (for instance, elect Pres, secty, and 1 director on the
odd year, and VP and 2 directors on the even years. This would ensure
continuity of operations, but I think this is more sophisticated than WECA
requires.) Adjust the language.
6. Should standing committee chairs be expected to attend Bd. meetings?
As necessary? Discuss. Adjust language

I’ll start by asking a question:
What comments do you have in regards to the general structure of the
Bylaws. (By this, I mean, the topics, subtopics…are key
topics/sections missing…we can talk about the detailed content after
we solidify the topics/subtopics the ) There are many ways to
structure Bylaws, so there is no one answer…it comes down to what we
feel will work best for our organization.
