So are you saying that if I stay with SP2 for Win2k and upgrade to Exch2k
SP3 there would be less of a risk involved?

we have a MAJOR issue between exch sp3 and w2k sp3

it breaks the RUS service somehow and stop new users being created =
unless exch is talking to a sp2 DC..

escalated to M$ currently who are still not sure if its exchsp3 or w2k =
sp3 that broke it.

I haven't had any issues with it so far.  I only had an issue when
installing the SP.  It couldn't install some components because I
hadn't installed them with the original installer.  Don't exactly
remember the errors.  BTW, this runs in a test environment, not a
production environment.
