I've been corrected...........in the case of Directors of an organization/corporation, the correct term is misfeasance...which is negligence in the discharge of their duties. Malfeasance would apply to any Director or officer who attempted or who attemps to influence other Directors/Officers to act in a way not beneficial to the organization, and possibly in direct opposition to the members of the organization/corporation. So...those who don't take part in the conference call/meeting will be guilty of misfeasance.............and one who has influenced their votes is guilty of malfeasance. In any case, these people know who they are...and if they can't do their jobs, they should resign.
