Is there a definition of “quorum” somewhere in the Bylaws? In the trivial case,
what if only three members show up to vote?

There is a question as to whether proxies are allowed for voting on bylaw
amendments. Article 5 section e is confusing. It says proxies are ok when
voting but then it says bylaw changes must be passed by two thirds of the
members present. Since bylaw changes sometimes involve a word or two added or
subtracted, and some of the proposals are tweaked at the voting meeting by
suggestions from the members present, it might be better to just not use
proxies for bylaw changes. If anyone strongly disagrees and wants to vote by
proxy, then please reply to this email and let us know your reasoning. I have
