Page 9 of the Jan PAS newsletter states that the items listed are proposed
changes to the bylaws that were considered by the Board of Directors. Alex, If
you do not want your suggestions to be voted on we will vote on those suggested
by Kevin and myself. We can then talk about your suggestions and if anyone
wants to move to amend the bylaws to put in your language we can do so.
However, we will not spend a lot of time debating your suggestions since the
PAS board of Directors had several months to consider them and no one has
opposed any of your suggestions. Any of the bylaw changes suggested by you, me,
or Kevin can be discussed, but if it looks like we need a lot more input, we

The issues that I raised in my email regarding changes to our Bylaws were not
intended to be actual recommendations but talking points, suggestions for
further discussion toward actual changes that can be voted upon.
Until we have proposed wording that constitutes an actual rewrite of a part of
the Bylaws, no member can decide how to vote on any topic. If by “proxy” we
mean the absent member is giving his or her trust to the proxy holder’s vote,
then fine. But holding a proxy that says the absent member votes one way or
another doesn’t seem to have much meaning at this stage in the change process.

amendments. Article 5 section e is confusing. It says proxies are ok when
voting but then it says bylaw changes must be passed by two thirds of the
members present. Since bylaw changes sometimes involve a word or two added or
subtracted, and some of the proposals are tweaked at the voting meeting by
suggestions from the members present, it might be better to just not use
proxies for bylaw changes. If anyone strongly disagrees and wants to vote by
proxy, then please reply to this email and let us know your reasoning. I have
