I don't have the Word document for the bylaws to make the changes. It is
just a pdf file that is available on the website. If someone can provide
the Word doc to me, I can make the changes.

Debby - I don't really want to get involved much in the bylaws, but here
are my thoughts on Art. IV and Art. X and a comment on Art. II. Also, I
think it would be a good idea to run all this by Bob Cherry.
*Art. IV, Sec. 1* now states: *No individual may hold the same office for
more than two consecutive terms. **He/she may then hold a different
office for not more than two consecutive terms, after which he/she may not
serve as an HCAS officer for one year. *
a. you can change the first sentence to state: *No individual may hold
the same office for more than **four **consecutive terms. *
b. and after the four two-year consecutive terms, if you want to let
someone serve four two-year consecutive terms in a *different* office and
then be required to sit out one year, then make this change:
* He/she may then hold a different office for not more than four
consecutive terms, after which he/she may not serve as an HCAS officer for
one year. *
* c. *so all you need to do is change "two" to "four" in two places. Then
someone could serve in two different offices for a total of 16 years before
sitting out a year.
d. I don't know what you were intending, but with this language, someone
could keep serving fewer than four two-year consecutive terms of different
offices and not have to sit out a year.
*ARTICLE X: AMENDMENTS *
*The Constitution and Bylaws may be amended by a majority vote of Active
Chapter Members present at any regular meeting, or at any special meeting
thereof, regularly called, provided a quorum is present, and provided
further that Active Chapter Members shall have been electronically notified
of the amendments at least ten days before said meeting. *
1 - Are you trying to vote at annual meeting? Must give electronic notice
of amendment at least 10 days before meeting.
2 - The annual meeting is a "regular meeting" per Art. II, Section 2.
3 - Ten Active Chapter Members constitute a quorum per Art. II, Section 3.
*ARTICLE II: MEMBERSHIP MEETINGS*
*Section 1: Regular membership meetings of HCAS shall be held on such day
of such months as may be determined by vote of the Board, but such regular
meetings shall be held not fewer than four times during the HCAS membership
year. *
I know you've changed how you're handling "meetings", so you might want
to be sure this section should still read like this.
I hope this helps. We are doing fine - swimming each morning & trying to
walk at least a loop daily...although we've had trouble the last few
days...got rained on yesterday and almost rained on today.
I had also mentioned to Sheryl about birding & lunch at the Greenway with
the four of you, and apparently you two had talked about it, also. Let us
know when it works for you, and we'll try to work it out. Just want you to
know that we are still trying to keep our distance from others, even
outdoors.
I can't get over all the wonderful things that HCAS is doing - thank you
again for your wonderful leadership!!

Also, the board had a meeting Thursday night to discuss term limits for
officers, since we never have people willing to step up. The board decided
to change the by-laws to a limit of 4 2-year terms with the ability to come
back and serve again. Would it be possible for you to make those
changes? I would prefer someone do it who has knowledge of such
