Questions about rebuilding an exchange server.

I have an exchange server that was mangled before I started working here. It is
an Exchange 2000 Enterprise server running on windows 2000. I want to upgrade
it to Server / Exchange 2003 but I know that there are MANY MANY problems with
the IIS permissions , and the server design including the hard drive layout is
totally wrong for the size of the server.
What is the best way to move the databases off the server , format / reinstall
and move the databases back in place, or is this even possible? Please help.. ;)
