Migrating NT4.0 Domain to W2K3 AD, but leaving Exchange 5.5 on.

Hi Gurus.
Have you ever seen the case that a customer or corporation migrate the Whole
domain to Windows 2K3 and leave the Exchange Server 5.5 on running on
Windows NT4.0, and no plan to migrate it, all they want to do is migrate the
server to Windows 2000.
How can we do this?, Are there any constraints?, What are the risks? Is
there a roadmap to do this?
