No it doesn't matter, but I would bounce to a new audio track if I were you.  
If you are just going to bounce to the track that has the soft synth in it and 
you are only using one sound from the synth, just freeze it.

  I'm converting midi tracks into audio, and i just bounced a soft synth midi 
track to its audio track source. The audio track that feeds the midi track with 
the soft synth in it is above that midi track. Does it matter if the audio 
track feeding the soft synth midi track is above it or below it?
