First of all, you're supposed to select both the audio track and the
MIDI track and bounce it to a new third track.  As for your question,
no, it doesn't matter whether the audio track is above or below the MIDI
track.

Hi All:
 
I'm converting midi tracks into audio, and i just bounced a soft synth
midi track to its audio track source. The audio track that feeds the
midi track with the soft synth in it is above that midi track. Does it
matter if the audio track feeding the soft synth midi track is above it
or below it?
