Hold the phone...not all versions are downgradeable according to this
document which comes as a surprise to me. 
If you purchase Windows XP off the shelf as a consumer(FPP/MLP) the way this
reads is that you CAN'T downgrade. 
You would need an OEM version, UA/SA or be enrolled in the Select or open
license agreement to do it.

not the actual key but you have downgrade rights when you buy WinXP Pro.
You can legally run Windows 2000.
