This might help:
http://www.oracle.com/corporate/pricing/partitioning.pdf

Basically, if you are "soft partitioning" a server, you need to license
every CPU in the server. A nagging issue for many who want to run
Oracle in, say, a VMWare environment.

Subject: Oracle VM server licensing

We are contemplating migrating some of our servers to VM. How does
Oracle handle licensing per processor in a VM environment. Any Oracle
docs you can refer me to?
