There is no technical conflict. It will work just fine. The major issues (IMO) 
are that 

1) you cannot legally configure it to notify you about problems, that is you 
have to be purely reactive.
2) various items --- like the performance tab -- are off limits. 

the same applies to database control and awrrpt etc as well. Grid control and 
dbcontrol have no further license implications at all, they just make it easier 
to break your existing license.
