Yes, Visio HAS been part of the Office "family" for a few years now. MS bought then out back around 2000 I think??? But I'm BCCing my good buddy over in VisioLand in the hopes that he can provide some additional info. I don't know about the upgrade??? You MIGHT have to have purchased an official MS version to get into the official upgrade deals????
