Why would you want to use flat files? Why don't you want to use a proper full 
Information store backup using ntbackup?

what i am in the process is testing for disaster at our recover site my plan 
was to built AD from backup make sure its ok then reinstall exchange server in 
DR mode
then run a restore of the flate file like everything in the mdbdata folder 
through ntbackup with overwrite database option in exchange then i am hoping 
everything thing is ok i;am i off base with this scenario thanks

Alex,
If your Disaster recovery refers to the same physical server being rebuilt with 
/disasterrecovery option, and provided you have  good daily full backup of your 
Information store, and your Active directory is still in place it should work 
with no issues. What is you exact scenario?
