Rule of Acquisition #117: Know Your Enemies.... But Do Business With Them Always

As Alder read the delicate files his father had kept to himself even unto 
death, his mind a formulated a negotiating option that may prove useful when 
the time came. But he realized it was more of a tactic, and if he was forced to 
use it- none of the partners on Torien?s side would like this. Especially her. 
He gripped upon the PADD a little tighter as his attention bore into the files.

What he read had profound key notes in what could lead in the total decimation 
of Torien?s company. With that were also important deals that the others- along 
with Ziterix the former Avtek representative- had signed. A contract that they 
had looked over callously. It was to his hope Torien had over looked this, but 
considering the impression Capelan left, that remained to be seen. 

One of the many documents just so happened to be a contract between Avtek, the 
other companies, and the Shimbrodus Company. But just as of recent, the 
particular document no more than eight years hold held Avtek from actually 
trying to take over the company in any event of any circumstance. But why, at 
that time, would my dad do such a thing? They weren?t big at the time, and in 
no way could he have known the circumstances that would make Avtek a major 
corporation, Alder thought to himself. But it was here. According to the 
document, without the formal signature of all the partners, Avtek, or any other 
company- for they all had the same contracts- could not legally take over each 
other without the consent of all including the losing party. And according 
Denevan Law, the business would then be handed over to the government and not 
to their affiliates- should the failing company not consent to a take over. 

But Alder had no intention of having his company go to the government. Without 
any doubt, the Denevan Republic are good at mostly everything they did. With 
some minor flaws, they were sound. But for all the good they had to offer, he 
wanted the company to himself. He had his plans, and one of them included 
getting Henry; his distant cousin on earth, to hopefully run the company, along 
with some others Alder trusted implicitly. 

Which was why he looked even more surprised that he found another contract. 
Avtek along with the others had signed an agreement that bound almost a third 
of their shares with the Shimbrodus Company. With that alone, the Shimbrodus 
extended their influence, their resources, and anything the other partners 
needed. The shares they kept, and Alder soon realize- roughly- that the 
Shimbrodus Company was more of a conduit than anything else. If the Shimbrodus 
Company fell, the sizeable amount of money taken for its partners would be 
significant enough to bring all down, or severely damage them. One way or the 
other, it was Alder?s company that wouldn?t suffer much- they could quickly 
re-establish their lost assets and any other necessities. 

The screen flared to life with the words "Incoming Transmission." He quickly 
punched in his access code and a woman, Trill, looked back at him with steely 
cool eyes. 

"You are Alder Shimbrodus, I assume." She said cut and dry that was more of a 
statement than a question.

"Yes, I..."

"Good, I am Arissa Torien, representative to Avtek Inc. and now let me ask you 
this? When will you be here? What business do you have to state before me 
instead of the scheduled negotiation? And finally, make it worth my time. I?m a 
busy woman, and I don?t need you interrupting me." Torien said flatly.

Alder narrowed his eyes, feeling a temper rise in the back of his head, "I?m 
aware you?re splitting my company. That?s one. You, for some reason, want to 
take almost all of it- that to my understanding is the basics of it. That?s 
two. And finally, I have a deal to offer you."

Torien gave a smile, disdainful if anything. "What can you possibly offer that 
you think I would want?"

Alder looked at her, "A few things my father has given to me. For one, quite a 
few documents concerning Avtek and my company. Two, there are three documents- 
one I haven?t really read to full detail- that happens to be of common 
knowledge. And third," Alder smiled, "these just so happen to be the key to 
your- and your partner?s- future. Very delicate information."

Torien shook her head, "One, kid, you can?t possibly have all the information. 
Two, you can?t possibly think I would believe your father would give you enough 
sensitive information; someone that probably doesn?t know what to do with it in 
the first place. And three, do you really think I will succumb to your 
ultimatums? Get a grip, I?ve established Avtek as one of the key partners to 
implement policy, you will also need- for whatever you have planned- my consent 
and signature. Like the others."

"Oh, I will have them. Considering the information here can either save you- or 
ruin you."

Torien glared, "threatening us. It?s a good thing I?m going against you. You 
would destroy our lives. You have no idea what you?re doing."

Alder looked at her, empty eyes that didn?t give much a damn what she had said. 
And the opportunity presented itself right now, "And I suppose that Avtek?s 
secret about Project Linus and Project Adium is all a myth. Not to mention the 
other repercussions it has on the civilian population. Also the fact that 
Starfleet Medical is unaware of this. And you say I?m destroying your lives."

Torien?s facial expression changed, "where did you..."

"I told you, as you were so busy belittling me. I have delicate information. 
Information you need to conceal, information that could put your company under, 
and more then likely the others as well. But the others- you know what- they 
can survive. Avtek on the other hand, won?t make it. In any case, you and your 
partners will have to listen to me. Your demands will not be heard until such 
time Avtek and the rest has considered what I have to offer, or fall- it?s your 
choice."

Torien gave a bitter laugh, "and you think Starfleet won?t come after you? You 
are part of this conglomerate, Starfleet will hold you responsible for 
negligence. If not Starfleet, then the Denevan Government will." Her eyes seem 
to sparkle, "you?re attempting to blackmail me. Fates, you can?t even do that. 
I will take you down- all of you- if you attempt such a thing, it?s a circuit 
if you do this."

It was Alder?s turn to laugh, "that?s where you?re wrong. Interesting what 
buried information can do to someone?s career. It would seem even you don?t 
have clearance. And this ?kid? has all the information he needs to save this 
group."

Torien?s face darkened, "you will not get this company. I will. We will. Why 
not just give in? You?ll have your name sake. I can even extend the profits to 
you. And just as an incentive, I?ll pay for the information you have and give 
my personal guarantee that the Projects we started will terminated."

Alder shook his head, "that?s where you?re wrong. You don?t see what my company 
specializes in. And it?s obvious you don?t know how much damage we could do if 
we were bought out. I will be there for the conference. You and your partners 
will listen to my proposal. If you don?t level the plain field, I will use this 
information I have and I will bring you down. And you know what? It won?t harm 
the Shimbrodus Company or any of my partners on this side." 

"The company you don?t even know how to run means that much to you?" Torien 
inquired softly with hatred under her light tone.

Alder shook his head and smiled as his finger danced around the button to end 
this meeting, "I?ll be there when the time comes. And it?s not the company that 
means that dear to me, it?s you that means that little."

The screen went blank. He breathed in a little. Impressed with himself that he 
didn?t falter under her disdain and intimidating presence. For the first time 
he was actually grateful for those few occasions that he sat in the office, 
watching how his father haggled with them. And right now, that was the most 
valuable asset he could use. He looked at the PADD with all the given 
information. This wasn?t business, or was it? Threats, ultimatums, and no sound 
deal anywhere in this entire meeting.

If this isn?t business, I don?t know what is.
