Check out IDT (www.idt.com) for application notes on using Quickswitch 
as a 5V to 3V
converter. It is bidirectional, has essentially zero delay and requires 
no controls. Just
put it between the two devices and watch it work. Quickswitch was 
invented by
Quality Semiconductor, which was bought by IDT.
For the Quickswitch device to work, the lopgic threshold should be below 
~2.5 volts.
Threshold is not a problem for TTL compatible devices. TTL threshold is 
1.4 volts.
Almost all I/O's are TTL compatible.
