Crap.  I figured it out.

Windows had security on the Zip file and blocked certain files from being 
extracted.

I had to "Allow/Unblock" the zip file and then extract it again.

I reran apxldimg and had no errors this time.

UGH.

It would be funny except...

match on your problem, according to this discussion, the error is the result of 
when others exception handler.
You may have to comment it in the apxldimg.sql to see, what the real error is, 
maybe hovewer, you specified not the correct path to unzipped apex directory.
