HI,
simply install exchange on the new server under the same domain. move the 
mailboxes to new server.once mailboxes are shifted to new server,replace public 
folders, recipeint update service, virtual SMTP server and any other connectors 
if any to new server.
test your system if new server is properly functioning,remove the old exchange 
server(using add/remove program)
