(note that this read 2003, but almost completely applies to Exchange 2000).
 
If you want the step by step and can't deploy Exchange 2003 (strongly
recommended) then check out the exdeploy.chm that comes with Exchange 2003.
You can download a trial version to get it if you have to get by that way :)

Anyone have any documentation put together that outlines the installation of
an exchange 2000 server running windows 2000 server into a windows 2003
