Responding to concerns that the new financial regulation law blocks the public from filing Freedom of Information Act requests with the Securities and Exchange Commission, SEC Chairman Mary L. Schapiro has written a letter to Rep. Barney Frank and one to Sen. Chris Dodd, reassuring them that the SEC is still responsive to public records requests and explaining what the change in the law does.


The text of both letters:


I am writing to address recent assertions that section 9291 of the Dodd-Frank Wall Street Reform and Consumer Protection Act (Dodd-Frank Act) was "hidden" in the financial reform legislation and "exempts" the SEC from the Freedom of Information Act (FOIA). As you know, these assertions are false.


The Dodd-Frank Act mandates a number of new responsibilities for the SEC to protect investors, including new authority over hedge funds, private equity funds and venture capital funds. Fulfilling these responsibilities will require the SEC to expand and improve our examination and surveillance capabilities in order to provide the type of risk-focused regulatory oversight investors deserve. In order for our efforts to be successful, it is important that registered entities be able to provide us with access to confidential information without concern that the information will later be made public.

A new financial overhaul law is drawing renewed scrutiny over a provision that some argue potentially insulates the Securities and Exchange Commission from complying with public records requests under the Freedom of Information Act.


The Dodd-Frank Wall Street Reform and Consumer Protection Act, signed into law by President Obama on July 21, contains several provisions affecting the transparency of government entities. One notable provision in the act -- section 929I -- allows the SEC to refuse to comply with FOIA requests regarding the agencys surveillance, risk assessments, or other regulatory and oversight activities.


The SEC does not have to disclose information it obtains during those activities if it comes from regulated groups such as broker-dealers, investment companies and investment advisers.


U.S. Rep. Darrell Issa of California, the ranking Republican on the House Oversight and Government Reform Committee, said Thursday he would introduce a bill to repeal the provision.


Regardless of intent, both Democrats and Republicans alike should agree that we cannot allow this regulatory body that failed to catch Allen Stanford's fraud and Bernie Madoff's Ponzi scheme to operate in secrecy, Issa said in a statement.
