It did for me.
I had previously updated the schema for Server 2003 and thought that
part was done but when I ran the install from the Server 2003 R2 disks
it found that I had not applied the R2 updates and then offered to do
the update.
Pretty Painless.

i do need to use spell check my brain types faster than my fingers
so the adprep will check to see if the exchange 2000 updates are
installed to be able to adprep the domain controller

You might try spell check on your email. It makes it easier to read.
The upgrade procedure will check to make sure you have the proper
upgrades to Active Directory and if not, it will do it for you.
It really was pretty painless. You need to read up on it (sounds like
you have), have a plan on what to do if it does not work, and then do
it.

Yes you will need to run adprep on the windows 2000 server, if you are
upgrading to windows 2003 r2 then use the adprep on the second disk.

ok but what i am reading is that if i have a windows 2000 domain with
exchange exchnage 2000 server and want to add a windows 2003 server to
the domain i have have update with adprep but before i need tio run the
interorfix
my plan is to add the new winoews 2003 server anf tranfer the fsmo roles
to that and then add a new windows 2003 server (member) install exchnage
2003 and replicate pf and move mailboxes

No, it won't. You want to be running exchange on a Member server anyway
so the Windows 2000 member server does not stop you from upgrading to a
Windows Server 2003 network.
