Wouldn't upgrading a DC while there is an Exchange 2003 on it be a bit too
much risk.?

Why not upgrade abc1 to windows 2003 DC. Remember to update schema for
attributes/schemas/objects for hosting a exchange 2003 environment. Bring in
another temporary box, put w2k3 on it, join the domain and put exchange 2003
on it. Also join the existing organisation. 

Move all to from abc's Exchange 2000 to temp Exchange 2003. Remove abc2's
exchange server. Now promote it to W2k3 (but I would rather demote it and
remove it from the domain. Then wipe it out and create a clean w2k3 domain
controller). Install a exchange 2k3 on it and move all back from the
temporary exchange 2003 to the new exchange 2003 on abc2.

I still a member server with exchange 2003 on it will be so much better then
a Exchange on a DC
