[THIN] Upgrade Farm

Hi list,
next year we have to change the servers, nowadays we have hp dl360 g3 in
our farm.
Now we are working with XPa 1.0 FR2 SP2 and W2K SP4.
My idea is upgrade to W2k3 environment and then upgrade the farm to
newest version which is PS4 or 4.5 next year.
my question, Have I to upgrade the farm? it's possible? or Have I to
make a 'clean' installation?
Is there any white paper regarding these issues?
I must do a report to my boss about the servers and installation.... :-(
