Do you use Trend? We had an issue a while back that was very similar and Trend was the process that was causing us problems. You may need to use LiveKD and enable pool tagging (poolmon.exe) to find out how much kernel memory you have left and what processes are using what. We fixed our by changing the paged pool size. Brian Madden has an excellent article on this which covers both 2000 and 2003. We fixed ours by doing.... reg add "HKLM\SYSTEM\CurrentControlSet\Control\Session Manager\Memory Management" /v PagedPoolSize /t REG_DWORD /d 4294967295 /f reg add "HKLM\SYSTEM\CurrentControlSet\Control\Session Manager\Memory Management" /v PoolUsageMaximum /t REG_DWORD /d 60 /f Be aware that this can have other knock on effects such as free PTE's are reduced. Make sure you test.
