So with 2003 this is no longer an issue? (having a dc be the license server)

I think you can have both farms in the same Domain and remain separate. If I am
reading the Terminal Server Licensing doc correctly you can have multiple
license servers in the same domain. They no longer must be installed on Domain
Controllers. The Citrix License server I believe can support multiple farms.

We have a PS 4.0 farm, small 3 server in our domain, abc. Corporate wants us to
abandon our doman and become an OU in their domain (both domains are 2k).
However, we want to keep our farms separate (they also have a PS 4.0 farm) for
reasons that would be long to list here.

So, we give up our domain, hence we give up our DC's. Off the bat, I see
licensing problems since licensing has to be on a DC and ours get put to bed.
What other potential issues can you guys see here?
