That's only if you use the upgrade version to upgrade your previous
operating system (a very bad idea). You CAN use a Windows upgrade to
do a clean install.

When you do this Setup will say that it didn't detect a previous
operating system and give you the option of inserting a previous
version of Windows (CD) in the CDROM to prove you have one.

Then it will do a clean install (and for once, you do "get more than
you paid for")

In a pinch, you can even change an upgrade version of Windows to
an OEM or Retail version (or the reverse, etc).
