If XP is like previous Windows OS's, then an upgrade CD can easily
install to a clean hard drive. You just have to have a copy of the
previous version CD in order to get past a security check as the upgrade
install is running.

Example:

To install Win 98SE upgrade on a clean hard drive, you need to have a
copy of Win 98 1st ed. or Win 95 install cd on hand. When the win 98SE
install asks for confirmation you are an owner of a previous Windows OS,
you insert the 98 or 95 CD and it will verify it, then continue the 98SE
install as if the CD was the full install version.

I have not tried this with a XP upgrade CD so I am not sure that it will
work. I seem to recall doing it with a Win 2000 upgrade CD and it
worked.
