Dear Evan, Margy and members: For anyone truely interested in the obligations, procedures and timelines involved in the job of Recording Secretary they are set out in the Policy and Procedure manual. Some significant sections: Only the person making the motion is recorded -no seconds. Minutes are to be mailed within 30 days. Lengthy discussions will not be incorporated, unless requested by a Board member. Letters which are not read into the minutes are not included. No editorial comments shall be included. The agenda shall be prepared by the Recording Secretary with in put from the President. For anyone interested about when a closed or Executive Session is appropriate please look to Roberts Rules. There are valid and legal reasons for an Executive Session. Our Bylaws and Policy and Procedure require the recording of all yeas and nays on motions and the names of those voting in the minority. When a Board acts the majority rules. If you disagree your vote is noted. The Board strives to abide by the Bylaws and the Policy and Procedure manual (the P&P is a guideline not a mandate). I doubt we are perfect. Additionally each Board member owes a fiduciary duty to the Board.
