Dick is right. Roberts is a guide for any organization who wants to know
what is recommended for an organization. However, nothing "trumps" the
by-laws
of an organization other than laws passed by the legislature of the state or
National laws. Roberts is nothing other than a guide book.
Some companies incorporate Roberts for something not covered by the by-laws.
But, Roberts never overrides the by-laws.
