i will not get into a pissing match with you, kathy, or anyone else.   the 
subject was the vote - the vote was not for a by-laws change but a vote on a 
 prospective member.  i did not bring up nor did i respond to "attorney's  
fees and associated transportation costs" - the INNUENDO of "settlement" in 
your  original post was extremely misleading.  there was NO financial  
settlement.
