My recollection is consistent with Evan's. This recommendation was delivered together with another, relating to utlizing the same election company and the same auditor as last year, and with proposed budget numbers. The Board did vote - on all three items as one motion. Four Board members voted against approval, one abstained, the others voted in favor. At the time this happened, as Evan said, there was little discussion. I wondered why there was not more reaction from the Board members, and it appears in hindsight that perhaps some misunderstood. Joan's reaction (she was shocked and upset), was also consistent. If that is not what was being done, it is all the more evident that ALL motions need to be written down prior, and then read prior to any votes so that everyone is clear on what action is being taken. I will go back to the audio recording to see exactly what the words were, hopefully that will provide clarification. It is a problem when an issue is sprung on the Board without notice, understandably results in confusion, and is a violation of our rules. That is why the P&P has so much to say about the fact that reports have to be submitted in advance, and that items that are not on the agenda cannot be acted on at Board meetings. This is a recurring problem. Since the Budget and Finance Committee's job is to establish a budget for the coming year, subject to Baord approval, and does not have responsibility for combining committees, or changing responsitibilities of committees, it further stands to reason that this would have been a bewildering proposition for the Board members.
