No need. New York law says the same. I have always said, if you follow the
by-laws and act in good faith, you have no liability. That is the law, and
remains the protection for any board member.
I am the attorney for a number of dog clubs and the Model A Ford Club of
America. I always say the same thing when asked about a procedure. Go with
the by-laws. You only have liability as an officer or board members when
you act outside the rules and the rules are set by the by-laws.
It is not that hard to follow the rules.
