Interesting question.
If you are asking under the New York Corporations Code, it depends on the
knowledge of the person who authorized it. If that person knew it was illegal
at the time it was written, (or, should have known, stupidity is not a good
excuse), then the person who authorized it is responsible. If the person
misrepresented it to the board, and the board approved it, the board is not
responsible.
Zoe just sent me the New York Corporations Code. It is clear to me, but you
have to read the end of each paragraph. It says what I said in the opposite,
but then ends with, "Unless known by the person so acting." But, it gets
there.
