Attached is way more information than you need but it comes from my decades
of experience in managing nonprofits, forming nonprofits and serving as
fiscal sponsor of nonprofits.
I urge the board to hold an informational meeting for interested members in
lieu of the postponed annual meeting.
Given the Board's state of affairs I urge you to consider having this
meeting facilitated so that all can participate equally and fairly.
In the absence of such a meeting members will get bit and pieces of a
complex picture fostering unnecessary worry and confusion.

There has been a grave series of events sparked by the arrival of the
large mount of money that Rory raised in the form of a gift from a very
close friend. While our Board functioned reasonably up to the point of

Because of the constraints placed on fiduciaries by the not-for-profit
statutes of the state, we have found it necessary to seek legal advice to
insure that the law is being followed, and that funds belonging to this
nonprofit organization are being spent prudently. As a result of this
consultation, we have learned that Phoenix Chorale Portland may not have
been properly organized. We are continuing to consult with the attorney who
will review what has occurred to determine whether the omitted meeting
among the incorporators should occur and/or what other measures must be
taken. The result of this review ill determine the future organization of
the entity. The "annual meeting" recently announced is cancelled. We expect
to hold the meeting as soon as the organizational issues are resolved. We
will keep you informed.
