It seems odd to me that anyone would prefer to do W2 over 1099 in such
a case unless they are concerned that they would not meet the "I'm an
employee not a contractor" test. The costs of a W2 are going to be
higher than a 1099 (taxes, etc) even if you are not offering benefits. Also,
in most if not all states there are very different legal protections
for W2 employees and higher liabilities on the part of the employer.
Odd....

More than 10 years ago I did this sort of thing for
better base pay and the usual benefits (medical, 401k,
life insurance, disability, etc.).
Incentives amounted to about $15K+ a year more.
Incentives were based on how much more service you
could sell to the clients once you started supporting
them. If they like you and trust your judgement that
was pretty easy.
