Why not continue their arrangement with OTA stations, but simply shift
from datacast over NTSC to datacast over ATSC?

If dotcast does not necessarily cover all existing TVs, as you
suggested, going over ATSC might even give them better coverage.
Especially if they can manage to arrange for good ATSC STBs for their
service, as DirecTV has done with apparently exclusive rights to LG 5th
gen stand-alone boxes.
