OAUA Officer Nominations Are Being Accepted

Dear OAUA Member,

The OAUA Board of Directors anticipates appointing Officers at its next 
meeting. The Officer positions are: Chairperson of the Board, President, Chief 
Operations Officer, Secretary, Treasurer, and Vice President. 

The duties are as follows from the OAUA Bylaws

Section 5.1. Chairperson of the Board of Directors. The Chairperson of the 
Board of Directors shall be responsible for the high-level strategic direction 
of the OAUA; act as the voice of the OAUA when called upon to do so; perform 
such other duties as may from time to time be assigned by the Bylaws or Board 
of Directors. 

Section 5.2. President. The President, if present, shall preside at all 
meetings of the members and the Board of Directors. At each annual meeting of 
members, the President or the President's designee shall report on the 
activities of the Corporation. Subject to the general control of the Board of 
Directors, the President shall manage and supervise all of the affairs of the 
Corporation and shall perform all of the usual duties of the President of a 
corporation.

Section 5.3. Chief Operations Officer. The Chief Operations Officer shall 
monitor and direct the day-to-day operations of the Corporation. The Chief 
Operations Officer shall assure that the operations of the Corporation are 
conducted in an orderly, timely and effective manner, shall coordinate the 
activities of the Secretary, Treasurer, Webmaster, and any standing committees, 
and shall perform all other usual duties of the Chief Operations Officer of a 
corporation.

Section 5.4. Secretary. The Secretary shall attend all meetings of the members 
and of the Board of Directors, and prepare, keep, or cause to be kept, a true 
and complete record and minutes of the proceedings of such meetings, and shall 
perform a like duty, when required, for all committees appointed by the Board 
of Directors. If required, the Secretary shall attest the execution by the 
Corporation of deeds, leases, agreements and other official documents. The 
Secretary shall attend to the giving and serving of all notices of the 
Corporation required by these Bylaws, shall have custody of the books (except 
books of account) and records of the Corporation, shall be responsible for 
authenticating records of the Corporation, and in general shall perform all 
duties pertaining to the office of Secretary and such other duties as these 
Bylaws, the Board of Directors, or an officer authorized by the Board may 
prescribe.

Section 5.5. Treasurer. The Treasurer shall keep correct and complete records 
of account, showing accurately at all times the financial condition of the 
Corporation. The Treasurer shall have charge and custody of, and be responsible 
for, all funds, notes, securities and other valuables which may from time to 
time come into the possession of the Corporation and shall deposit, or cause to 
be deposited, all funds of the Corporation with such depositories as the Board 
of Directors shall designate. At each annual meeting of the members, the 
Treasurer, or the Treasurer's designee, shall report on the financial condition 
of the Corporation. The Treasurer, or the Treasurer's designee, shall furnish, 
at meetings of the Board of Directors or whenever requested, a statement of the 
financial condition of the Corporation, and in general shall perform all duties 
pertaining to the office of Treasurer.

Section 5.7. Vice President. The Vice President shall In the absence of the 
President, or in the event of his or her inability or refusal to act, the Vice 
President shall perform all the duties of the President, and when so acting 
shall have all the powers of, and be subject to all the restrictions on, the 
President; Shall have other powers and perform such other duties as may be 
prescribed by law, by the Articles of Incorporation, or by these Bylaws, or as 
may be prescribed by the Board of Directors.

Officers will serve one year terms. They will run the OAUA's day to day 
operations, under the general direction of the Board of Directors.

Nominations for officer positions will be accepted through midnight pacific 
time of Sunday, November 20, 2001 and evaluated during the following week.

Officer positions are volunteer, as are all OAUA personnel.
