Personally, I do not feel that it is necessary to postpone the meeting with 
Brian Miller and Gary Keefe tomorrow.  No decisions are going to be made 
that I can see, as they openly said that nothing had been finalized between 
Santa Maria and Lompoc during the "up-to-date" BRIEFING at City Hall last 
week.  We have a duly elected Board, and the By-laws are in process.  If 
they object that we do not have a valid organization yet, all I have to say 
is, "Fine, then deal with a valid organization in three days, because that's 
what it will take to finish them.  We'll have it ready then."

If we send this letter brought to me by Darsie, then the first sentence 
should read: "Due to the short notice for today's 3:30 p.m. meeting, members 
of the Board were polled and they felt that they would prefer to discuss it 
between us first at this Friday's meeting of the Board, and put off our 
mutual meeting until this coming Wednesday, if that is convenient for you.

I apologize for this abrupt notice of the cancellation, but we want to act 
in unison and this way they will all be apprised of what is going on in 
advance.

If there are changes or new decisions between Lompoc and Santa Maria 
regarding the PEG Access program in the meantime, we respectfully ask that 
you keep is advised."

However, in thinking things through, I feel that if we are going to call one 
meeting after the other, we will soon see people avoiding this or that 
meeting because it takes too much of their time, or even dropping off the 
Board of Directors because of the.  Today's world is just that way, time is 
of the essence, from mothers taking children to practice baseball, football, 
music, etcetera, etcetera, etcetera (The last three words a direct quote 
from The King and I).

We need meetings that are short, yet as effective as possible.  We want to 
make decisions and move on to the next topic.  A question or discussion box 
was brought up Friday evening and this seems like a good idea.  If we have 
committees, they'll do the work on various topics and report to the Board of 
Directors.

So, if you decide to go ahead and cancel, okay.  If not, I'll attend the 
meeting with Walt right on time.

I see no harm in it.  You elect a Chairman to take on the Administration of 
the organization, and I think that it is important to establish the 
connection.  Obviously they are giving our group some sort of recognition at 
this point, otherwise they would not have invited me to this meeting.  I do 
not think that they are going to question who is who and what is what.  They 
could have done that by mail.

I WILL NOT BE ATTENDING THE 3:30 PM WEDNESDAY APRIL 14, 2004 MEETING WITH 
CITY ADMINISTRATOR GARY KEEFE AND PEG EXECUTIVE DIRECTOR BRIAN MILLER.

I BELIEVE THAT IT IS CRUCIAL THAT THE LOMPOC  PEG ACCESS BOARD OF DIRECTORS 
MEET IMMEDIATELY, FORMAT A LETTER WITH THE BOARD'S SUGGESTIONS, COMMENTS AND 
QUESTIONS TO ADMINISTRATOR KEEFE, EXECUTIVE DIRECTOR BRIAN MILLER, AND THE 
LOMPOC CITY COUNCIL.

AS PART OF THIS LETTER, THE BOARD MUST ASSURE THE CITY OF OUR ATTENTIVENESS, 
COOPERATION, AND CIVILITY IN THE FUTURE.

I ALSO BELIEVE THAT THE LOMPOC PEG ACCESS BOARD OF DIRECTORS MUST GET THIS 
LETTER COMPLETED & DELIVERED TO ALL CONCERNED PARTIES AT CITY HALL 
IMMEDIATELY.

FOR THE  LOMPOC PEG ACCESS BOARD OF DIRECTORS TO BE TAKEN SERIOUSLY BY CITY 
ADMINISTRATOR GARY KEEFE, PEG EXECUTIVE DIRECTOR BRIAN MILLER, AND THE 
LOMPOC CITY COUNCIL,  YOUR LETTER SHOULD BE ON THE LOMPOC CITY COUNCIL'S 
AGENDA FOR THE APRIL 2OTH COUNCIL MEETING---PRIOR TO THE 72 HOUR TIME LIMIT 
FOR SUBMITTAL OF AGENDA ITEMS.

MY SUGGESTIONS TO  THE  LOMPOC PEG ACCESS BOARD OF DIRECTORS ARE THAT YOU 
MUST FINALIZE IN WRITING IMMEDIATELY:

·       FILE YOUR CORPORATE NON-PROFIT 501 C3 APPLICATION OR UTILIZE PREVIOUSLY
        SUBMITTED/APPROVED 501 C3 DOCUMENTS OF WILLIAM WAGNER OR DEANNE 
CARR.

·       SUCCINCTLY EXPRESS THE  LOMPOC PEG ACCESS BOARD OF DIRECTORS PURPOSE &
        OBJECTIVES (MISSION STATEMENT), BY LAWS AND  ORGANIZATIONAL 
STRUCTURE.

·       THE  LOMPOC PEG ACCESS BOARD OF DIRECTORS PROPOSED OPERATING BUDGET 
--AFTER
        CRUNCHING THE NUMBERS IN THE FRANCHISE AGREEMENT, MOU?S, AND THE 
APRIL 6TH PEG
        UPDATE HANDOUT FROM GARY KEEFE (COLEEN HEFLEY-INTERIM TREASURER)

·       THE  LOMPOC PEG ACCESS BOARD OF DIRECTORS PRODUCER AGREEMENT AND STUDIO
        OPERATIONAL RULES.

PROCESS.
        FULLY INFORM THE CITIZENS OF LOMPOC OF YOUR EXPECTATIONS OF A 
COMPLETELY OPEN
        TRANSITION PROCESS IN ALL MEDIA FORUMS.

TO BE TAKEN SERIOUSLY, THE LOMPOC PEG ACCESS BOARD OF DIRECTORS MUST MAKE A 
SERIOUS COMMITMENT TO YOUR EFFORT TO BE RECOGNIZED BY THE LOMPOC CITY 
COUNCIL AS THE LOMPOC COMMUNITY?S REPRESENTATIVE FOR CABLE TV ACCESS.

THERE ARE NO "SHORT CUTS" TO THIS PROCESS. IT WILL TAKE MUCH WORK BY 
EVERYONE INVOLVED IN PRODUCTIONS AT THE STUDIO TO MAKE THE LOMPOC PEG ACCESS 
BOARD OF DIRECTORS AND UNFETTERED PUBLIC INPUT TO LOCAL CABLE PROGRAMMING A 
SUCCESS.

HOWEVER, IN THE ALTERNATIVE, YOU CAN BE SATISFIED WITH THE DECISIONS  OF THE 
CITY ADMINISTRATORS & THE PEG EXECUTIVE DIRECTOR.   GET INVOLVED OR LET 
OTHERS MAKE THE DECISIONS FOR YOU, THE CHOICE IS YOURS!

IF YOU BELIEVE THAT CITY ADMINISTRATOR GARY KEEFE, PEG EXECUTIVE DIRECTOR 
BRIAN MILLER, AND THE LOMPOC CITY COUNCIL ARE YOUR ENEMIES--YOUR WORDS AND 
CONDUCT WILL REFLECT THIS ATTITUDE--WHICH IS ULTIMATELY SELF DEFEATING TO 
ALL PARTIES!!


My Personal Comments to My PEG Friends at the Studio

As I have previously explained to PEG people in the past, I have many prior 
commitments and important issues in my life to resolve and that the period 
of time that I can devote exclusively to the establishment of the Lompoc PEG 
Access Board of Directors is drawing to a close.

I have devoted well over 100 hours over the last month-on making sure that 
the Citizens of Lompoc, the PEG Users, and Volunteers have a voice in the 
transition of PEG Access from Comcast to the City of Lompoc.

Much of that effort was making an accurate square footage survey of the 
current Lompoc studio and the entire Comcast facility at 646 North "H" 
Street.  After the survey was completed, I made multiple copies of the 
building prints that I had created and had them laminated to aid the PEG 
Users, the City of Lompoc, and the strip mall owners in their discussion of 
the division of Comcast building between multiple tenants. This survey 
effort alone took over eight days.

I have spent well over $100 dollars of my own money on copies of building 
prints, documents, and an ink cartridge for the station's printer.

Joe Tripe has personally spent thousands of his own dollars over the years 
to keep PEG Access alive in Lompoc and he has expressed a willingness to 
personally spend thousands more of his money to assure our community cable 
access.

Obviously, with this much "sweat equity" into the transition, I am still 
keenly interested in the success of the Board.

However, now that the Lompoc PEG Access Board of Directors has been formed 
and the urgent need for the Board's non-profit status and organizational 
constructs have been realized by the Board, I am respectfully "bowing out" 
of this arduous formation process for now.

I intend to learn the operation of the PEG Access Lompoc studio in the 
upcoming months and I pledge to assist any production as a volunteer 
wherever and whenever I can.

I initially came to the studio to assist in the production of a political 
discussion forum for The Lompoc Valley Democratic Club.  I have also 
expressed my desire to personally produce a sailing travelogue of the 
Central Coast or perhaps a series of sailboat racing shows as my production 
skills mature.

I am not "giving up" on my participation in productions at the Studio or my 
future production commitments or plans.

But I can no longer maintain the level of leadership that I have shown over 
the last month due to my prior commitments. I will attend as many future 
Board meetings as my schedule will allow.

Thank you for taking the time to read this very long email.  May we all 
succeed in our efforts to keep and expand community access to cable 
television.
