When I run cachedir.exe, and I get the out of memory error, I notice
perfmon drops all my perf counters down to 0.

Yeah, we have SmartFilter by Secure Computing.. Never gave me trouble
until now.
Last night I found another entry about the cache dir not starting
properly, so I created a new cache dir.
The errors went away, the proxy service stopped crashing, but now when I
open the cachedir.exe file, I get an out of memory error.

Do you have any third-party filters installed?

Isa 2004 Sp2
Windows 2003 SP1, latest\greates patches\updates I keep getting errors
about wspsrv.exe, and its making these cab files in
%systemroot%\PCHEALTH\ERRORREP\QSIGNOFF.

This causes the MS Firewall service to stop, and restart.

I dunno whats causing it.
