SSL issue (not port contention)

config:
isa2000 sp2 / OS has all updates
web publising a server with OWA for exchange 5.5
Port Contention not an issue (no blocking in PF logfile and netstat -na
indicates ISa is listening on proper IP:443).
From web server, after attempt to hit the exchange server via ssl I can
run netstat -na | find "443" and the session has been created and is now
in wait_state. Shows remote clients IP with dynamic port and IIS server's
IP:443.
Tested from many clients on different ISP's.

If SSL is on the OWA gives page can not be displayed.
If SSL turned off the OWA site works perfectly.

Please assist if you can....totally lost as to what to check.
I mainly need confirmation that my assumptions are right and that the
issue is with the IIS server and/or certificate and not ISA config.
