no, just needs to be in the same folder, or if you can get around file
protection, just overwrite the originals. I did it here and it works
fine.

Have you tried it, from a 2003 box to a 2000 one???

 

If you copy the mstdc.exe and it's dll from a 2003 box to your xp
workstation, then it may also work from there.
