Done....still same result with "net time /set" (could not locate a time
server)

Here is a link for a good article on setting up an Authoritative Time Server
on Windows.
I used this to configure my Internal Network and DMZ to get out through the
ISA Server
and sync the time.

First you need to make a client address set for the Domain Controller (or
chosen server)
Next make a protocol rule for this client address set.
Allow NTP (UDP) and Time (UDP) for the protocol rule.
Remember- internal network=protocol rule DMZ= packet filter
( do not create both )
I used the ntp2.usno.navy.mil server at 192.5.41.209

Im using the ISA Server itself for this.
All local and Fixed 123 is setup...does it need to be changed to dynamic
instead of all?

Where is the box from which you are runnning w32time -v? Is is an SNat or
FW client? I assume your PF is UDP Send receive with dynamic local port
and fixed remote port 123, right?
I've done this and it works fine.
